Corporate Executives

Corporate executives know there is no such thing as job security in these times of economic uncertainty. Our attorneys help executives in every stage of their employment, from working out initial employment terms to negotiating a severance package. Our team considers all aspects of the law that can impact your individual situation, including employment law, corporate and securities law, litigation, tax law, employee benefits law and labor law.

When we provide representation to our executive clients, we consider all issues related to executive employment agreements, such as:

  • Determination of base compensation and bonus arrangements
  • Circumstances of termination (with or without cause)
  • Compensation due upon termination — severance and benefits
  • Restrictive and confidentiality covenants
  • Non-compete and non-solicitation agreements
  • Tax issues related to employment agreements

Many executives have the opportunity to participate in the equity ownership of their employers through stock options, straight purchases of equity or stock appreciation rights. We counsel executives in complying with tax law, and negotiating equity and/or deferred compensation plans.

For executives in transition who have an existing non-compete agreement, we will review your documentation to determine the boundaries and enforceability of such agreements. We can also negotiate release and separation agreements for executives. If the issues cannot be settled, we are equipped to represent you in court or arbitration. Litigation issues we address for our corporate executive clients include terminations, both with and without cause, and the enforceability of non-compete agreements.
